Welcome to LocalBiz. By accessing or using our website at localbiz.app (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Performance MAX LLC ("Company," "we," "us," or "our") governing your access to and use of the Service.

2. User Accounts

Our Service allows users to search for and view business listings. Business owners may claim and manage their listings through our platform. By claiming a business listing, you represent and warrant that:

• You are authorized to represent the business
• All information you provide about the business is accurate and complete
• You will keep the business information up to date
• You will not misrepresent your business or its services

We reserve the right to verify business ownership and may remove or suspend listings that violate these Terms.

4. Subscription Services

We offer various subscription plans for business owners. By subscribing to a paid plan, you agree to:

• Pay the applicable subscription fees as described at the time of purchase
• Provide accurate billing information
• Authorize us to charge your payment method on a recurring basis

Subscription fees are billed in advance on a monthly basis. You may cancel your subscription at any time, and you will continue to have access to paid features until the end of your current billing period.

5. Payment Terms

All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge the applicable fees to your payment method.

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing at any time, with notice provided to existing subscribers.

If your payment fails, we may suspend your access to paid features until payment is received.

6. User Content

Our Service may allow you to submit, post, or display content, including reviews, photos, and business information ("User Content"). You retain ownership of your User Content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with our Service.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it and that it does not violate any third-party rights.

7. Prohibited Uses

You agree not to use our Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Submit false, misleading, or fraudulent information
• Harass, abuse, or harm another person or business
• Submit fake reviews or manipulate ratings
• Attempt to gain unauthorized access to our systems
• Use automated means to scrape or collect data from our Service
• Interfere with or disrupt the integrity of our Service

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We do not guarantee the accuracy of business information or user reviews displayed on our Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PMAX DIGITAL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

In no event shall our total liability exceed the amount you paid us, if any, in the past twelve months.
